These Terms of Service (“Terms”) govern your use of the website thebolddesk.co.za, our communication channels (email, phone, WhatsApp Business and Meta messaging products) and the services provided by The Bold Desk (“we”, “us” or “our”). By accessing our website or engaging with us through any channel, you agree to be bound by these Terms.

2. Services
The Bold Desk provides back-office and professional services, including medical billing (Rhino & Panacea), accounting (Sage), debtors & creditors management, personal-assistant services, and AI business automation. The specific scope, deliverables, fees, turnaround times and payment terms for any engagement are set out in a separate written service agreement, proposal or invoice (the “Engagement”). In the event of conflict between these Terms and an Engagement, the Engagement prevails for that specific matter.
3. Using our website
You agree to use our website and communication channels only for lawful purposes. You may not:
- Use the site to transmit unlawful, harmful, threatening, defamatory or infringing content.
- Attempt to gain unauthorised access to any part of the site, our systems or related networks.
- Use automated means to scrape, harvest or overload the site.
- Misrepresent your identity or impersonate another person or business.
4. WhatsApp and Meta communications
When you contact us on WhatsApp or a Meta channel (Messenger, Instagram), you also agree to the applicable terms of Meta Platforms, Inc., including the WhatsApp Business Terms of Service. You acknowledge that:
- We may respond to enquiries, send quotations, appointment reminders, payment confirmations, and other service-related messages via WhatsApp.
- Messages may be processed, stored and routed through Meta’s servers, including servers outside South Africa.
- You can opt out of non-essential WhatsApp notifications at any time by replying STOP or contacting info@thebolddesk.co.za.
- You must not send us unlawful content, spam, or content that violates another person’s rights through any messaging channel.
Our handling of personal information shared through these channels is governed by our Privacy Policy.
5. Client responsibilities
Where we provide services to you, you agree to:
- Provide accurate, complete and up-to-date information, including patient or customer records where relevant.
- Hold all necessary consents to share personal information of third parties (e.g. patients, employees) with us for the purposes of the Engagement.
- Comply with applicable laws, including POPIA, tax legislation and healthcare regulations.
- Pay invoices in accordance with the terms set out in the Engagement.
6. Fees and payment
Fees for services are set out in the Engagement. Unless otherwise agreed in writing, invoices are payable within 7 days of invoice date. Late payments may attract interest at the prime lending rate plus 2%, and we reserve the right to suspend services on accounts that remain overdue after written notice.
7. Confidentiality
We treat all client and patient information we receive as confidential and only use it to perform the Engagement or as required by law. Each party agrees not to disclose the other’s confidential information to any third party except where strictly necessary to perform the services or meet a legal obligation.
8. Intellectual property
The website, its content and our branding (including the name “The Bold Desk” and our logo) are owned by us or our licensors and are protected by copyright and trade-mark law. You may not copy, modify, distribute or create derivative works from our materials without our prior written consent. Deliverables produced under an Engagement are governed by the intellectual-property terms set out in that Engagement.
9. Third-party services and links
Our services integrate with third-party platforms (including Sage, Rhino, Panacea, Meta and WhatsApp). Those platforms are operated independently under their own terms and privacy policies. We are not responsible for their availability, performance or any changes they make.
10. Disclaimer of warranties
To the maximum extent permitted by law, our website and any information on it are provided “as is” and “as available”, without warranties of any kind, whether express or implied. We do not warrant that the site will be uninterrupted, error-free, or free from viruses or other harmful components. Professional services are delivered with reasonable skill and care in accordance with the Engagement.
11. Limitation of liability
To the maximum extent permitted by law, The Bold Desk’s total liability for any claim arising out of or related to these Terms or the services is limited to the fees paid by you to us in the three (3) months preceding the event giving rise to the claim. We will not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, data or goodwill. Nothing in these Terms excludes liability where it cannot lawfully be excluded, including for fraud or wilful misconduct.
12. Indemnity
You agree to indemnify and hold The Bold Desk harmless from any claims, losses or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of our services, or your infringement of another person’s rights.
13. Termination
Either party may terminate an Engagement in accordance with its terms. We may suspend or terminate your access to our website or messaging channels immediately if you breach these Terms or use our services in a manner that exposes us or others to legal or reputational risk. Sections of these Terms that by their nature should survive termination (confidentiality, intellectual property, disclaimers, limitation of liability) will continue to apply.
14. Governing law and jurisdiction
These Terms are governed by the laws of the Republic of South Africa. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent South African courts.
15. Changes to these Terms
We may amend these Terms from time to time. The current version will always be available on this page, together with the “Effective date”. Continued use of the website or our services after changes take effect constitutes acceptance of the updated Terms.
